Gloucestershire Federation of Rugby Union Referees
CONSTITUTION
August 2001
Name
1. The Federation is called The Gloucestershire Federation of
Rugby Union Referees.
Affiliation
2. The Federation is affiliated to the Rugby Football Referees'
Union (RFRU) of the Rugby Football Union (RFU).
Composition
3. The Federation consists of the Bristol Referees' Society and
the Gloucester and District Society of Rugby Union Referees, in
equal partnership.
Aims and Objectives
4. The aims and objectives of the Federation are to facilitate
joint activities by and further the interests of its member
Societies by
* supporting and promoting the recruitment, training, development
and retention of their match officials; * providing facilities
for the development of match officials;
* developing relationships with the RFU, the South West
Appointments Group (SWAG), the Gloucestershire Rugby Football
Union (GRFU) and other Referees' Societies to the benefit of
refereeing.
Committee
5. Management of the Federation is vested in the Federation
Committee, which consists of the following Officers, to be
appointed each year at the Annual General Meeting (AGM):
* Chair
* Vice Chair
* Secretary
* Treasurer
In addition, each member Society nominates one member to serve on
the Committee.
6. The Committee has the power to fill any vacancy that arises between AGMs, and to co-opt or invite any other person deemed appropriate on either an ad hoc or a continuimg basis.
7. The Committee is empowered to appoint sub-committees against agreed Terms of Reference with responsibility for any aspects of Federation business. The Chair of any sub-committee reports to the Federation Committee.
Appointments
8. Appointment of Chair and Vice Chair of the Federation is on
the basis of annual rotation of the roles between Chairmen of the
member Societies. Appointment of Secretary and Treasurer is by
agreed allocation between the member Societies.
Ordinary Meetings of the Federation Committee
9. Meetings of the Federation Committee are held at least twice a
season. All meetings require written notice of at least 21 days
to members from the Secretary, who is also responsible for
keeping minutes of meetings.
10. The RFU Referee Development Officer South West is invited to all meetings.
11. The business of meetings includes
* Administration of the Federation;
* The finance of the Federation;
* Supporting the work of sub-committees; and
* Activities resulting from membership of the RFRU and SWAG.
12. Any matter not provided for in the Constitution but clearly involving the interests of Federation members may be discussed and resolved by the Committee.
Quorum
13. A quorum for any Federation Committee meeting is three
Committee members.
Voting
14. At any meeting of the Federation Committee each member
Society is entitled to one vote only, to be cast by its
representative. If unanimity is not reached a further meeting
must be held, normally within one month, when the matter must be
resolved.
Annual/Special General
Meetings
15. The AGM is normally held in August..
16. The purpose of the AGM is to - confirm the appointment of
officers - approve the accounts - consider and if appropriate
approve changes to the Constitution of the Federation
17. A Special General Meeting (SGM) may be called at the written
request of a member Society.
18. Written notice of an AGM/SGM and its agenda must be given to
all members at least 21 days in advance.
Quorum
19. A quorum for an AGM or SGM is a representative of each member
Society plus two Committee members.
Voting
20. At any AGM/SGM each member Society is entitled to one vote
only, to be cast by its representative. If unanimity is not
reached a further meeting must be held, normally within one
month, when the matter must be resolved.
Subscriptions
21. Each member Society is required to pay an annual subscription
to the Federation, the amount to be decided at the
AGM. Accounts
22. All monies must pass through the hand of the Treasurer, who
settles all accounts and issues receipts. The Treasurer is
responsible for keeping account of all income and expenditure and
is required to present a financial report at all Federation
meetings.
23. All funds are to be managed through Bank Accounts in the name of the Federation. Withdrawals of up to and including £100 may be made by the Treasurer provided that the purpose of the funding is within the aims and objectives of the Federation. Withdrawals of more than £100 require the signatures of the Treasurer and the Chair or Vice Chair.
24. The accounts are to be presented by the Treasurer for approval by members at the AGM. The financial year ends on 30 May. 25. The accounts are to be made available for inspection by any member subject to the provision of reasonable notice to the Treasurer.
Dissolution
26. The Federation may be dissolved by a resolution adopted by a
SGM called for that purpose. Such a resolution may give
instructions for the disposal of any assets remaining after
satisfying outstanding debts and liabilities. These assets shall
not be given to any individual but are to be equally distributed
between the two Societies of the Federation or, in the event of
the cessation of a Society, in any manner which is exclusively
charitable in law.
Amendment to the Constitution
27. No alteration to this Constitution may be made except by
unanimous assent at an AGM, or SGM called for that purpose.
Proposals for amendment must be submitted in writing to the
Secretary for circulation with the calling notice.
